1. License Grant & Device Allowance
Upon purchasing a license for Vayli, Modi Studio grants you a personal, non-exclusive license to install and run the software on one device at a time.
Moving your license to a new PC: You may move your license to another computer whenever you replace or upgrade your hardware. To transfer your license, open Settings → License in Vayli on your old computer and select "Deactivate this PC", then enter your key on the new computer. If your old PC is lost or broken, contact support to reset your activation seat.
You may not distribute, sublicense, resell, decompile, or reverse engineer any binary components of Vayli without prior written authorization.
2. Updates & Version Lifecycle
Your one-time license includes all bug fixes, improvements, and feature updates for every Vayli 1.x release.
Future major version releases (such as Vayli 2.0 and later) represent separate development cycles and are paid upgrades. There is no recurring subscription, and licenses do not include indefinite major-version upgrades.
3. Free Trial & Trial Expiration
Vayli includes a 3-day free trial from the moment of installation, with all tools fully unlocked. No account, email, or payment card is required to start the trial.
When the trial ends: The application locks its tools until a valid license key is entered. Your local data (including notes, clipboard history, parked shelf files, and settings) remains safe and intact on your PC; trial expiration never deletes your local content.
4. Refunds & License Revocation
Purchases are eligible for a full refund within 30 days of purchase under our Refund Policy. When a refund is issued, the associated license key is revoked on the license server, and Vayli will deactivate on the PC upon the next successful license check, returning the app to its locked state while preserving your local files.
5. Merchant of Record & Billing
Payment processing, invoicing, currency conversion, and applicable tax calculation (such as GST or VAT) are conducted by our Merchant of Record, Dodo Payments.
6. Warranty Disclaimer
Vayli is provided "as is", without warranty of any kind, express or implied. In no event shall Modi Studio be liable for any claims, damages, or incompatibilities arising from third-party software, operating system modifications, or hardware failure.
7. Governing Law & Jurisdiction
These terms and any disputes arising out of or related to your use of Vayli shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.
